INLAND SKI CLUB CONSTITUTION

ARTICLE I

NAME AND PURPOSE

Section A            This organization shall be known as the Inland Ski Club.

Section B            The Inland Ski Club shall be an organization not-for-profit.

Section C            The purpose of the Inland Ski Club shall be to promote and support general interest and activity in snow skiing among Inland Steel employees, relatives and friends, and to make whatever contributions desirable, necessary, and appropriate to realize these purposes.

ARTICLE II

MEMBERSHIP AND DUES

Section A            Eligibility

1.            Any individual who is an Inland Athletic Association (I.A.A.) Member and who subscribes to the principles and purposes of the Inland Ski Club may become a member of the Inland Ski Club.

2.            Any individual who is not a member  in the I.A.A. may participate in ski trips as long as they are a member of the Inland Ski Club and have a club sponsor who is an Inland Steel employee. 

3.            Any member who terminates employment with Inland Steel Company for reasons other than retirement, is terminated from membership in the Inland Ski Club.  Such individuals may continue to participate as per Section A (2) of this article.

Section B            Dues and Other Obligations

1.            Inland Ski Club members that are members in the I.A.A. shall be assessed $15.00 annual dues for themselves and $15.00 annual dues for his/her spouse with children under 18 years of age being free.

2.            Any Inland Ski Club member that is not a member in the I.A.A. shall be assessed $20.00 annual dues for themselves and $15.00 annual dues for his/her spouse.

                        3.            Membership dues are payable May 1st of each year.  Any new member paying dues between May 1st and November 1st shall be considered an Inland Ski Club member through November 1st of the following year.

4.            Any member who fails to make the required dues payment by November 1st, shall be considered in arrears and disqualified from voting and participation in Club activities until such payment is made.

ARTICLE III

ORGANIZATION

Section A            The Board of Directors shall be the governing body of the Inland Ski Club.

Section B            The Board of Directors shall consist of the members of the Executive Committee, the immediate past president and advisors.

Section C            The Executive Committee shall consist of the Standing Committee Leaders and the following duly elected officers: Chairperson, Vice Chairperson, Treasurer, and Secretary.

Section D            The Executive Committee shall be empowered to make decisions on matters pertinent to the effective conduct of business of the Club and implementation of programs approved by the Board.  Decisions of the Executive Committee may be overruled by a 2/3 vote of all Club members.

Section E            The Chairperson of the Inland Ski Club shall be responsible for the appointment of at least two, but no more than three advisors to the Inland Ski Club.

Section F            The Club shall maintain the following Standing Committees:

                        1.  Membership            4.  Racing              7.  Editor

                        2.  Trip                         5.  Special Events 

                        3.  Publicity                  6.  Instruction                   

Section G            Additional committees may be formed by the Executive Committee when necessary, the tenure and leader of which shall be at the pleasure of the Executive Committee.

ARTICLE IV

OFFICERS

Section A            Eligibility for Office

1.            Any individual seeking office must be a member of the I.A.A. and the Inland Ski Club and shall have been a member of both for at least one full season prior to election.

2.            Also, an individual seeking office must be an employee of Inland Steel Industries and its affiliated companies, a retired employee, or the spouse  of an employee or retired employee.  The retired employee must have been a member of the I.A.A. at the time of retirement  for spouses to seek office.  Any spouse seeking the office of Chairperson must secure the approval of the I.A.A. Board prior to the Election of Officers at the April meeting.

Section B            Duties of Officers

1.            The Chairperson shall have the responsibility of fulfilling the purposes and principles of the Inland Ski Club as provided herein.  The Chairperson shall preside at all Board, Executive Committee, and Assembly meetings and shall coordinate all Inland Ski Club activities.

2.            The Vice Chairperson shall preside at all Board, Executive Committee and Assembly meetings in the absence of the Chairperson and shall assist the Chairperson in all matters related to the fulfillment of the purposes and principles of the Inland Ski Club.

3.            The Treasurer shall collect and receive all dues, fees, and other monies on behalf of the Inland Ski Club; make disbursements and maintain an adequate record of all financial transactions; shall report receipts, disbursements, and current treasury balance at all regular meetings of the Board, Executive Committee, and the Assembly; shall place Club funds in proper bank accounts and shall be authorized, along with the Chairperson and Vice Chairperson, to draw monies from the Inland Ski Club bank account; shall maintain all records, and conduct all financial business until the close of the fiscal year, and shall be responsible for the conduct of any fiscal audit.

4.            The Secretary shall record the minutes of all meetings of the Board, the Executive Committee, and the Assembly and provide copies of said minutes; shall process all correspondence of the various committees unless such correspondence is delegated to a member of the respective committees by the committee leader; and shall maintain a mailing list of all Board and Executive Committee members and their attendance at all meetings.

Section C            Nomination of Officers

1.            The Nominating Committee shall consist of the Chairperson, the immediate past Chairperson, and all the Standing Committee Leaders.  The leader shall be elected from within this committee.

2.            The Nominating Committee shall meet and select a slate of candidates for office which shall be distributed to all Club members before the March meeting and prior to the first board meeting prior to the election of officers at the April meeting.  The slate of candidates to be announced in the March issue of the club newsletter.  The presiding officer at the Board meeting which shall take place prior to the election of officers at the April meeting shall read the slate and entertain additional nominations from the floor.

3.            No nominations will be entertained from the floor at the March meeting without written approval from the candidate.  Any nominations submitted must be in writing to the Nominating Committee with the candidates written and signed permission prior to or during the March meeting.

4.            The presiding officer at the March meeting shall read and present the slate(s) of nominated officers.  Election of officers will be conducted at the April meeting.

Section D            Election of Officers

1.            Officers for subsequent year shall be elected by plurality vote at the last Assembly meeting of the fiscal year.  Balloting for officers shall include only those candidates presented by the Nominating Committee or nominated from the floor at the preceding Board Meeting.

Section E            Term of Office

1.            The term of office for all elected officers shall be one (1) year.

                        2.            The Chairperson may be not be elected for more than two (2) consecutive

                                    terms.

                        3.            The Vice Chairperson, Secretary and Treasurer may not be elected for

                                    more than four (4) consecutive terms.

                        4.            An individual may not serve as an officer for more than four (4)    consecutive terms.

5.            Newly elected officers shall assume their responsibilities immediately after their election.

6.            In the event of any vacated office, the Executive Committee shall make an appointment to fill the unexpired term of such vacancy.  This appointment shall be ratified by simple majority vote of the Board.

Section F             Conduct of Officers and Delegates

1.            Officers of the Board shall be expected to serve without remuneration except as reimbursement for expenses incurred while conducting business which has been previously authorized by the Board.

2.            No officer or member of the Inland Ski Club shall use the name, office or influence of the Inland Ski Club for personal gain.

3.            Executive Committee members shall attend 3/4 of all properly called meetings and may not be excused from two (2) successive meetings without good cause.

4.            Officers may be disqualified for failing to comply with any Article or Section herein, such disqualification being determined be a 2/3 vote of the Board only.

ARTICLE V

COMMITTEES

SECTION A            The Chairperson, with approval of the Board, shall name Leaders to the Standing Committees and shall present them to the Assembly at the general meeting in September or at the first meeting after the new committees are formed.  The tenure of the committee leaders shall be at the pleasure of the Chairperson.  The duties of the Standing Committees shall be as follows:

1.            The Membership Committee shall promote new memberships and member renewals, maintain current mailing list of all members, maintain mailing labels, process membership renewals, and compile and submit an annual budget to the Chairperson for Board Approval.

2.            The Trip Committee shall be responsible for coordinating Club trips with outside clubs and affiliates, for notifying members of trip schedules, for submitting to the Treasurer before the end of the fiscal year a financial accounting for all Club trips, and for compiling and submitting an annual budget to the Chairperson for Board approval.

3.            The Publicity Committee shall compose releases of appropriate Club activities and distribute same to”Steelmaker”, I.A.A. Department Representatives, Department Newsletter Editors, shall be responsible for all photographic arrangements covering Club activities, shall maintain publicity historical file, shall use any further means to publicize the clubs’ activities, and shall be responsible for compiling and submitting an annual budget to the Chairperson for Board approval.

4.            The Racing Committee shall schedule and supervise races at all Club trips, shall be co-responsible for the awards program, shall compile and submit an annual budget to the Chairperson for Board approval.

5.            The Special Events Committee shall schedule and supervise all social activities of the Club, shall notify all Club members of the social calendar, and shall compile and submit an annual budget to the Chairperson for Board approval.

6.            The Instruction Committee shall schedule and supervise all instruction activities of the Club, shall be co-responsible for the awards program, and shall submit an annual budget to the Chairperson for Board approval.

7.            The Editor solicits articles from officers, committee leaders, and other sources.  Compiles, edits, and publishes articles in the newsletter.  The newsletter is to be published monthly from September to April with only summer flyers going out in May and July and distributed to the membership.  Provides adequate number of extras to be available at Assembly meetings.  Compiles and submits an annual budget to the Chairperson for Board approval.

ARTICLE VI

FINANCE

Section A            Fiscal Year

                        1.            The Fiscal Year shall be May 1st to April 30th.

Section B            Budget

1.            The Chairperson and Treasurer shall have the responsibility of operating within a solvent budget, and shall prepare a tentative club budget for the following year.

2.            The Chairperson and Treasurer shall meet and prepare a budget to be submitted to the I.A.A. Board by their requested date and within the guidelines set forth by the I.A.A.

Section C            Operating Funds

1.            It shall be the responsibility of the Executive Committee, at the direction of the Chairperson, to raise funds necessary to meet operating costs and other obligations.

Section D            Audit

1.            The books shall be audited by the Treasurer at the end of each fiscal year and financial statement prepared.

ARTICLE VII

   MEETINGS

Section A            The Board of Directors shall meet quarterly with the date and place determined by

                        the Board.  A simple majority of the Board members shall constitute a quorum.

Section B            The Chairperson shall have the power to call special Board meetings or reschedule Board meetings.

Section C            All interested individuals shall have the right to attend and debate at Board meetings, but not to vote.  Debate by interested individuals shall be at the pleasure of the presiding officer.

Section D            The Executive Committee shall meet quarterly with the date and place determined by the Chairperson.  A simple majority of the Executive Committee shall constitute a quorum.

Section E            The Chairperson shall have the power to call special Executive Committee meetings.

Section F            Assembly meetings shall be held every month between September and April, and at other times as deemed necessary by the Chairperson.

ARTICLE VIII

EXCULPATORY CLAUSE

Section A            No officer, delegate or other agent of the Inland Ski Club shall be liable to any other club or any of their members or guests or to any individual member of the Inland Ski Club for any acts or omissions when such officers, delegates, or agents are acting on behalf on the Inland Ski Club.  Acceptance of Inland Ski Club membership, under the terms of this constitution, shall constitute an acceptance of this waiver of liability.

Section B            No officer, agent or representative of the Inland Ski Club shall be liable for any debt of the Inland Ski Club or for any judgment or claim entered against the Inland Ski Club.

ARTICLE IX

AMENDMENTS

Section A            Proposed amendments to this constitution shall be submitted in writing and read to the Board.  The proposed amendment shall be part of the published agenda of the next Assembly meeting at which time debate and voting on the proposed amendment shall take place.

Section B            The adoption of any amendment shall require 2/3 vote of the Assembly.

ARTICLE X

MEMBERSHIP REVOCATION

Section A            The Executive Committee shall designate an individual member eligible for membership revocation when such individual member violates any article herein or causes interference to the normal functions of the Inland Ski Club.

Section B            An individual member can initiate membership revocation action against another member by submitting causes in writing to the Executive Committee.

Section C            The Chairperson, at the direction of the Executive Committee, shall cause the Board to vote upon the membership revocation, which shall require a 2/3 vote of the Board, providing the individual in the revocation action has been advised in writing and has been given an opportunity of a hearing before the Board.

Section D            Any individual whose membership has been revoked may reapply for membership one year after the date of revocation.

ARTICLE XI

DISSOLUTION

Section A            The Inland Ski Club shall be considered dissolved if, after two years, there has been no organized activity or if there is a membership of less than fifteen individuals.

Section B            Any person who shall have served as an officer within the preceding two years shall be qualified to make such determination for dissolution.

Section C            Once the conditions set forth in Section A have been established, it shall be the responsibility of the Chairperson and the Treasurer to place any surplus funds in trust for the Inland Ski Club.  These funds shall be held in trust for a period of two years after which, if the Inland Ski Club has not by then reorganized, the funds shall be given to the I.A.A.
